AOC-4 focuses on financial reporting, while MGT-7 captures corporate governance details.<\/p>\n\n\n\n<p>In this blog, we will understand the difference between <strong>AOC-4 and MGT-7<\/strong>, their due dates, penalties, and why they are important.<\/p>\n\n\n\n<p class=\"has-medium-font-size\"><strong>1. Legal Provisions<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>AOC-4 &#8211; Governed by Section 137 of the Companies Act, 2013 and Rule 12 of the Companies (Accounts) Rules, 2014.<\/li>\n\n\n\n<li>MGT-7 &#8211; Governed by Section 92 of the Companies Act, 2013 and Rule 11 of the Companies (Management and Administration) Rules, 2014.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-medium-font-size\"><strong>2. Purpose of Filing<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>AOC-4: To submit audited financial statements and related reports of the company. It highlights the financial performance and position of the company during a financial year.<\/li>\n\n\n\n<li>MGT-7: To submit the annual return, which includes details of the company\u2019s shareholding, directors, and corporate governance matters.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-medium-font-size\"><strong>3. Penalty for Non-Compliance of MGT-7 \/ MGT-7A (Filing of Annual Return) -Section 92<\/strong><\/p>\n\n\n\n<p>Further \u20b9100 per day for each day the default continues.<\/p>\n\n\n\n<p><strong><em>The Companies (Accounts) Second Amendment Rules, 2025, effective from 14 July 2025, streamlined filing requirements for AOC-4 and related forms but did not alter the penalty amounts. Thus, timely filing remains critical to avoid heavy fines.<\/em><\/strong><\/p>\n\n\n\n<p class=\"has-medium-font-size\"><strong>8. Filing Process<\/strong><\/p>\n\n\n\n<p><strong>AOC-4:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Prepare financial statements and have them audited.<\/li>\n\n\n\n<li>Conduct the AGM and get approval of financials.<\/li>\n\n\n\n<li>File AOC-4 electronically on MCA portal with digital signatures and attachments (Auditor\u2019s Report, Balance Sheet, etc.).<\/li>\n<\/ul>\n\n\n\n<p><strong>MGT-7:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Compile data related to shareholding, directors, and meetings.<\/li>\n\n\n\n<li>Ensure accuracy with records maintained in registers.<\/li>\n\n\n\n<li>File MGT-7 electronically on MCA portal within due date.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-medium-font-size\"><strong>9.
