For conducting a valid Board Meeting at shorter notice, consent from all the directors shall be obtained and decisions made shall be circulated and ratified by independent director.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The rationale for such norms is simple: fairness and equity principles, i.e., every director shall be part of decision-making process.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Who_Can_Call_a_Board_Meeting\"><\/span><strong>Who Can Call a Board Meeting?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">In general practice, any director of the company may call for convening of board meeting and where company Secretary is appointed, the CS of the Company shall handle the administrative formality of serving the notice as per the Companies Act, 2013 and Secretarial Standard -I.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Note: &#8211; A meeting convened without serving of valid notice, the decisions made at it may be held void even if quorum was technically present.<\/strong><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Constituents_of_Valid_Notice_%E2%80%93\"><\/span><strong>Constituents of Valid Notice: &#8211;<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Company name and registered office<\/li>\n\n\n\n<li>Date, Time &amp; Location of the Meeting (mention specifically if it is convened Via Video Conferencing)<\/li>\n\n\n\n<li>List of agenda items<\/li>\n\n\n\n<li>Notes or supporting documents for decision-making<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Resolutions_%E2%80%93_How_Decisions_are_made\"><\/span><strong>Resolutions: &#8211; How Decisions are made<\/strong><strong><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>There are basically two types of Board Resolution: &#8211;<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Resolutions passed by conducting Board Meeting<\/li>\n\n\n\n<li>Resolutions passed by Circulation<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Resolutions passed by conducting Board Meeting<\/strong>: The concept of this type of resolution is straightforward.
